1. Agreement to Terms

By enrolling in any ADAPT Academy program, accessing the ADAPT Academy website, or using any service offered through ADAPT Academy or By Any Means Basketball, LLC (“ADAPT,” “we,” “us,” or “our”), you and your parent or guardian agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

These Terms apply to all athletes, parents, guardians, coaches, and any other individuals who participate in or interact with ADAPT Academy programs, including but not limited to the ADAPT AAU Experience, club team programs, and training initiatives.

2. About ADAPT Academy

ADAPT Academy is a club basketball and international player development program operated by By Any Means Basketball, LLC. ADAPT programs include:

• The ADAPT AAU Experience — an international training and AAU tournament program based in Miami, Florida

• Club team competition in AAU and other basketball circuits

• International exposure programs for athletes outside the United States

• Training, skills development, and mentorship programs

• Global clinics, camps, and coaching projects affiliated with By Any Means Basketball

We reserve the right to modify, suspend, or discontinue any program or service at any time, with or without notice.

3. Eligibility and Registration

• ADAPT Academy programs are open to athletes who meet the age, skill level, and experience requirements specified for each program

• Athletes under the age of 18 must have all registration completed and signed by a parent or legal guardian, who also accepts these Terms on behalf of the minor

• All registration information must be truthful, accurate, and complete. Providing false information may result in removal from the program without refund

• ADAPT Academy reserves the right to decline any application or enrollment at its sole discretion

• International participants are responsible for obtaining all necessary travel documents, visas, and authorizations required to enter the United States. ADAPT Academy will provide reasonable documentation assistance but cannot guarantee visa approval

4. Payments, Cancellation, and Refund Policy

a) Payment Terms

• All program fees are due as specified at the time of registration or as outlined in your enrollment agreement

• Accepted payment methods are listed on our website and registration materials

• Prices are subject to change without notice; confirmed enrollees are not affected by price changes after payment is received

• All fees are listed in US Dollars (USD). International participants are responsible for any currency conversion fees or charges applied by their bank or payment provider

b) Refund Policy for ADAPT Programs

• Cancellations made more than 30 days before the program start date: full refund minus a $150 administrative fee

• Cancellations made 15–30 days before the program start date: 50% refund

• Cancellations made fewer than 14 days before the program start date: non-refundable

• No refunds will be issued for early departures, voluntary withdrawals once a program has begun, or dismissals resulting from code of conduct violations

• Non-refundable deposits, if applicable, are clearly identified at the time of registration

c) Program Cancellation by ADAPT Academy

• If ADAPT Academy cancels a program due to circumstances within our control, enrolled participants will receive a full refund of all fees paid

• If a program is cancelled or modified due to circumstances outside our control — including but not limited to natural disasters, pandemic, government travel restrictions, or force majeure events — ADAPT Academy will offer a program credit for a future session. Refunds in such circumstances are at ADAPT Academy’s sole discretion

d) Travel and Non-Program Costs

ADAPT Academy is not responsible for any travel-related costs incurred by participants, including airfare, ground transportation not arranged by ADAPT, accommodation outside the program, visa application fees, or travel insurance. We strongly recommend that all participants and families purchase travel insurance prior to booking flights.

e) Chargebacks

Initiating an unauthorized chargeback or payment dispute will result in immediate suspension from all ADAPT Academy and By Any Means Basketball programs. We reserve the right to pursue recovery of disputed amounts through all available legal means.

5. Code of Conduct

ADAPT Academy brings together athletes from diverse cultural, linguistic, and national backgrounds. All participants, parents, and guardians are expected to uphold the following standards throughout the program:

• Treat all coaches, staff, fellow athletes, and community members with respect, regardless of background, nationality, or skill level

• Follow all rules, schedules, curfews, and instructions provided by ADAPT Academy staff

• Refrain from any form of bullying, harassment, discrimination, or abusive behavior — verbal, physical, or digital

• Abstain from the use of alcohol, illegal drugs, tobacco, or any prohibited substances during program participation

• Respect all property, facilities, and accommodations used during the program

• Uphold the values of sportsmanship and cultural exchange that define the ADAPT experience

ADAPT Academy reserves the right to remove any participant from a program immediately and without refund for violations of this code of conduct, as determined at our sole discretion.

6. Parental and Guardian Responsibilities

Parents and guardians of minor participants acknowledge and agree to the following:

• You have the legal authority to enroll the athlete and to enter into these Terms on their behalf

• You have accurately disclosed all relevant medical conditions, allergies, medications, and physical limitations prior to enrollment

• You will ensure the athlete is adequately prepared for international travel, including possession of valid travel documents

• You will maintain contact with ADAPT Academy staff as needed throughout the program and are reachable in the event of an emergency

• You will ensure the athlete arrives and departs within the designated program dates and transportation windows

• You accept that ADAPT Academy staff serve as supervisors and coaches — not as legal guardians — during the program

7. Health, Safety, and Medical Authorization

By enrolling in an ADAPT Academy program, participants and guardians represent and warrant that:

• The participant is physically fit and medically cleared to engage in intensive athletic training and competition

• All known medical conditions, allergies, injuries, and medications have been disclosed in full prior to program commencement

• In the event of a medical emergency, ADAPT Academy staff are authorized to seek emergency medical treatment on behalf of the athlete, and any associated costs are the responsibility of the participant and their family

ADAPT Academy staff are not licensed medical professionals. We maintain first aid capabilities during programs and will contact emergency services when necessary. Participants and families are responsible for maintaining their own health insurance coverage, including coverage valid in the United States for international athletes.

ADAPT Academy strongly recommends that all international participants obtain comprehensive travel and health insurance before attending any program.

8. Assumption of Risk and Waiver of Liability

PARTICIPATION IN BASKETBALL, ATHLETIC TRAINING, COMPETITIVE GAMES, AND TRAVEL ACTIVITIES INVOLVES INHERENT RISKS, INCLUDING THE RISK OF PHYSICAL INJURY. BY ENROLLING IN ANY ADAPT ACADEMY PROGRAM, PARTICIPANTS AND THEIR GUARDIANS VOLUNTARILY ASSUME ALL SUCH RISKS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADAPT ACADEMY AND BY ANY MEANS BASKETBALL, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, COACHES, VOLUNTEERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INJURY, ILLNESS, LOSS, DAMAGE, OR EXPENSE ARISING FROM OR RELATED TO PARTICIPATION IN ANY ADAPT ACADEMY PROGRAM, INCLUDING DURING TRAINING, COMPETITION, TRANSPORTATION, HOUSING, OR OTHER PROGRAM ACTIVITIES.

A separate liability waiver and medical authorization form may be required prior to participation in any ADAPT Academy in-person program.

9. Travel and Housing

For programs that include housing arrangements (such as the ADAPT AAU Experience):

• Participants are expected to treat all accommodations with respect and leave them in the condition in which they were found

• Any damage caused to housing, facilities, or property by a participant is the financial responsibility of the participant and their guardian

• ADAPT Academy staff are present to supervise and support athletes; however, independence is expected — participants are responsible for personal hygiene, laundry, time management, and respecting shared spaces

• Curfews and house rules are mandatory and will be enforced by program staff

For programs involving air travel to AAU tournaments, ADAPT Academy arranges and coordinates transportation. Participants must adhere to all travel schedules and instructions. ADAPT Academy is not liable for flight delays, cancellations, or changes caused by airlines or other travel providers.

10. Photography, Video, and Media Release

By participating in any ADAPT Academy program, participants and their guardians grant ADAPT Academy and By Any Means Basketball, LLC a non-exclusive, royalty-free, worldwide license to use photographs, videos, and other media captured during program activities for marketing, promotional, educational, and social media purposes, including but not limited to Instagram, YouTube, and the BAM website.

This license does not expire upon completion of the program. If you do not wish to be featured in ADAPT media, please notify us in writing before the program begins. This will not affect eligibility for enrollment.

11. College Recruitment Disclaimer

ADAPT Academy makes no guarantees of any kind regarding college recruitment, scholarship offers, or professional opportunities. Any introductions or communications between ADAPT Academy coaches and college programs are provided exclusively at the discretion of ADAPT staff and only when an athlete’s performance, attitude, and conduct genuinely warrant such a connection.

Enrollment in ADAPT Academy programs does not constitute any representation, warranty, or promise of athletic advancement, recruitment exposure, or scholarship consideration.

12. Intellectual Property

All program materials, training methodologies, curricula, branding, logos, and content associated with ADAPT Academy and By Any Means Basketball, LLC are protected by applicable copyright and trademark laws. Participants and families may not reproduce, distribute, or publish any ADAPT Academy content without prior written consent.

13. Termination and Removal

ADAPT Academy reserves the right to remove any participant from a program or terminate access to services at any time for violations of these Terms, unsafe behavior, conduct detrimental to the team or program, or any reason deemed appropriate by program leadership. Removal due to conduct violations is non-refundable.

14. Disclaimers

ADAPT ACADEMY PROGRAMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OUTCOME OF PARTICIPATION, ATHLETIC DEVELOPMENT, OR EXPOSURE RESULTS.

ADAPT Academy is not responsible for the actions, conduct, or decisions of third parties including tournament organizers, AAU officials, college coaches, travel providers, or other program participants.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPT ACADEMY’S TOTAL LIABILITY TO ANY PARTICIPANT OR GUARDIAN FOR ALL CLAIMS ARISING FROM OR RELATED TO OUR PROGRAMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT PARTICIPANT FOR THE SPECIFIC PROGRAM IN QUESTION.

IN NO EVENT SHALL ADAPT ACADEMY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF OPPORTUNITY, ARISING FROM PARTICIPATION IN OR INABILITY TO PARTICIPATE IN OUR PROGRAMS.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, United States of America. Any disputes arising from these Terms or from participation in ADAPT Academy programs shall first be addressed through good-faith negotiation between the parties. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association.

17. Modifications to These Terms

ADAPT Academy reserves the right to update these Terms at any time. Revised Terms will be posted with an updated effective date. Continued enrollment or use of our services after such changes constitutes acceptance of the revised Terms. We encourage participants and families to review these Terms periodically.
